Terms of Service

These Terms of Service govern your use of the Alchemy platform. By creating an account and using Alchemy, you agree to these terms.

1. Service Description

Alchemy is a desktop application for building custom image analysis workflows. The application is installed locally on your computer and processes all data on your machine. We are not a cloud-based service—your research images and analysis results remain on your device unless you explicitly choose otherwise.

Remote services are limited to:
 •  User authentication and login
 •  License verification
 •  Optional workflow configuration backups (workflow structure only, not your research data)

2. Account Registration

You are responsible for maintaining the security of your account credentials. Notify us immediately if you suspect unauthorized access to your account.

Account information must be accurate and current. If registering on behalf of a lab or institution, you confirm you have authority to bind that entity to these terms.

3. Data Security and Privacy

Local Processing

All scientific image processing and analysis occurs locally on your computer. Your research images and analysis results are not uploaded to or stored on our servers.

Data We Store

We store only the following on our servers:
 •  Account information (name, email, institution affiliation)
 •  Authentication credentials (encrypted)
 •  License and subscription status
 •  Workflow configurations (if you choose to save them remotely)

Workflow configurations contain the structure and parameters of your analysis pipelines, not your actual research data.

Security Measures

We implement industry-standard security practices including:
 •  Encryption for data in transit and at rest
 •  Secure authentication via AWS Cognito
 •  Role-based access controls
 •  Regular security monitoring and updates

Optional Cloud Processing

We are developing optional cloud-based processing for computationally intensive workflows. This feature:
 •  Requires your explicit opt-in consent
 •  Allows you to specify which datasets may be processed remotely
 •  Follows the same security standards as our core platform
 •  Can be disabled at any time

Machine Learning Model Training

We may request permission to use de-identified workflow data to improve Alchemy's machine learning capabilities. This is strictly opt-in. We will not use your data for model training without your written consent, and you may revoke this permission at any time.

4. Permitted Use

You may:
 •  Create and execute workflows according to your subscription tier
 •  Share workflows with collaborators
 •  Publish workflow code to open source repositories with proper attribution to Alchemy
 •  Access and reference workflow code after subscription termination

You may not:
 •  Reverse engineer, decompile, or copy the Alchemy platform code
 •  Redistribute, resell, or sublicense the software
 •  Circumvent licensing or authentication mechanisms
 •  Use the platform for unlawful purposes

5. Intellectual Property

Your Ownership

You retain full ownership of:
 •  Your workflow configurations
 •  All research data processed through Alchemy
 •  Analysis results and outputs
 •  Research findings generated using the platform

Our Ownership

Alchemy AI, Inc. retains all rights to:
 •  The Alchemy platform and its source code
 •  Core functionality and interface design
 •  Proprietary algorithms and methods

Workflow Sharing

With your written permission, workflows may be published to Alchemy's community library with attribution. Other users may access, use, and modify community-shared workflows.

Open Source Publication

You may publish your workflow code to public repositories such as GitHub, provided you:
 •  Include appropriate attribution to Alchemy
 •  Clearly distinguish your workflow code from Alchemy's proprietary platform code
 •  Comply with applicable open source license terms

6. Publication Acknowledgment

If you use Alchemy in published research, please include an acknowledgment such as: "Image analysis was performed using workflows developed on the Alchemy platform."

7. Fees and Payment

Billing
Subscription fees are specified in your Statement of Work (SOW) or Order Form. Invoices are due within 15 days of the invoice date. Payments are processed via Stripe.

Late Payment
If payment is not received within 15 days, we may suspend platform access until payment is current. You will retain the ability to reference workflow code during any suspension period.

Trial Period
For new custom workflows, billing begins only after you confirm the workflow meets your requirements.

Cancellation and Refunds
Either party may terminate with 30 days' written notice. Prepaid fees for unused subscription periods will be refunded on a prorated basis.

Service Credits
If a critical bug attributable to Alchemy prevents you from using the platform, we will issue a service credit or prorated refund for the affected period.

8. Support and Maintenance

Your subscription includes:
 •  Technical support with 24-hour response time on business days
 •  Bug fixes and performance improvements
 •  Minor workflow refinements and optimizations
 •  Initial onboarding and training

Development of new workflows or significant new features may require a separate SOW with additional fees.

9. Service Continuity

If Alchemy discontinues platform development or operations, you retain the right to continue using the software and executing your workflows without interruption.

10. Warranties and Disclaimers

We warrant that services will be performed in a professional manner consistent with industry standards.

The platform is provided "as-is" without guarantees regarding:
 •  Accuracy or reliability of analysis results
 •  Fitness for specific research purposes
 •  Absence of all errors or interruptions

Computational results must be independently validated according to scientific standards before publication or reliance.

11. Limitation of Liability

Our total liability under this agreement shall not exceed the fees you paid during the 12 months preceding any claim.

Neither party shall be liable for indirect, incidental, consequential, or special damages, including lost research time or opportunities.

12. Term and Termination

This agreement remains in effect until terminated by either party with 30 days' written notice.

Upon termination:
 •  You retain access to workflow code for reference
 •  Platform execution access is revoked
 •  Prepaid fees for unused periods are refunded prorata
 •  Our support obligations cease

We may terminate immediately for material breach of these terms.

13. Modifications

We may update these terms periodically. Material changes will be communicated via email. Continued use of Alchemy after changes take effect constitutes acceptance of modified terms.

14. Governing Law

This agreement is governed by the laws of the State of Texas, excluding conflict of law principles. Any disputes shall be resolved in the courts of Travis County, Texas.

15. Entire Agreement

These Terms of Service, together with any executed SOW or Order Form, constitute the complete agreement between parties and supersede all prior understandings.
